Terms of Service

1. Eligibility & account

You must be at least 18 years old, or have legal parental/guardian consent. You're responsible for everything that happens under your account, for the accuracy of the information you provide, and for keeping your credentials secure. One person per account; no sharing. Notify us at help@actingfolio.com immediately if you suspect unauthorized access.

2. Your content

You retain all ownership rights to the content you upload — videos, photos, text, links, and anything else (collectively, "Your Content"). You grant ActingFolio a worldwide, non-exclusive, royalty-free license to host, store, transcode, reproduce, modify (for technical purposes only — encoding, resizing, generating thumbnails), publicly display, and publicly distribute Your Content for the purpose of operating the service. This license terminates when you delete Your Content, except to the extent reasonably necessary to comply with legal obligations or maintain backups.

You represent and warrant that you own or have obtained all rights, licenses, consents, and releases necessary to upload Your Content and make it available through the service, including:

• Rights to any third-party material (film clips, music, photographs, scripts)
• Consent of every person depicted in the content
• All necessary permissions from agencies, studios, casting directors, or other rights holders

You are solely and fully responsible for Your Content and any consequences of uploading or sharing it. ActingFolio has no obligation to review, screen, or pre-approve Your Content.

3. Acceptable use

You may not, and may not allow others to:

• Upload, post, or share content that infringes any copyright, trademark, publicity, or other right
• Upload content that is unlawful, defamatory, harassing, threatening, obscene, sexually explicit, hateful, or invasive of privacy
• Impersonate any person or misrepresent your affiliation with any person or organization
• Use the service for any commercial purpose other than promoting your own acting career as the named account holder
• Reverse-engineer, decompile, scrape, or attempt to access the underlying code or data of the service
• Use bots, scripts, or automated means to interact with the service
• Interfere with or disrupt the service, its servers, or its networks
• Bypass any access restrictions, rate limits, or security measures
• Use the service to develop a competing product
• Resell, sublicense, or otherwise transfer access to your account

4. Termination & content removal

We may suspend, restrict, or terminate your account, and remove any of Your Content, at any time, for any reason or no reason, with or without notice, in our sole discretion. Reasons may include but are not limited to: violation of these terms, suspected illegal activity, non-payment, a request from law enforcement, or a business decision on our part.

You may cancel your subscription at any time through the Billing page. On termination — whether by you or by us — your portfolio will be set to non-public and Your Content may be deleted from our systems. We are not obligated to retain or return Your Content after termination.

5. Fees, billing, and refunds

The service is offered as a monthly subscription. A valid payment method is required at sign-up to start your free trial. By providing your payment information, you authorize ActingFolio to charge that payment method automatically at the end of the trial period and on each renewal date thereafter, until you cancel. The current price and billing terms are shown on our pricing page and in the Billing section of your account, and may change at any time on notice to you. Payments are processed by Stripe; we don't store full payment card details.

All fees are non-refundable. Cancellation takes effect at the end of the current billing period; you'll retain access until then. Failed payments may result in immediate suspension of your account. Storage add-on charges are billed in addition to the base subscription as described in the Billing section of your account.

6. DMCA & copyright complaints

If you believe content on ActingFolio infringes your copyright, send a notice to help@actingfolio.com that includes:

• Your physical or electronic signature
• Identification of the copyrighted work claimed to have been infringed
• The URL or other location of the allegedly infringing material
• Your contact information (address, phone number, email)
• A statement that you have a good-faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the rights holder

We may remove the allegedly infringing material and may terminate the account of users we determine to be repeat infringers.

7. Modifications to the service

We may modify, suspend, or discontinue any feature, function, or any part of the service at any time, with or without notice, without liability to you. We may also change these Terms of Service at any time; material changes will be communicated through the service or via email. Your continued use after changes take effect constitutes acceptance.

8. Disclaimer of warranties

The service is provided "as is" and "as available", without warranty of any kind, express or implied. To the fullest extent permitted by law, ActingFolio disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted operation. We do not warrant that the service will be error-free, secure, continuously available, or that any defects will be corrected. Your use of the service is at your sole risk.

9. Limitation of liability

To the fullest extent permitted by law, in no event shall ActingFolio, its operators, owners, employees, or affiliates be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the service.

ActingFolio's total cumulative liability to you for any and all claims arising out of or relating to these terms or the service shall not exceed the greater of (a) the total fees you paid to ActingFolio in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

Some jurisdictions don't allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless ActingFolio and its operators from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your Content
• Your use of or access to the service
• Your violation of these terms
• Your violation of any third-party right, including intellectual property, publicity, or privacy rights
• Any claim that Your Content caused damage to a third party

11. Governing law & disputes

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these terms or the service shall be resolved exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to personal jurisdiction in those courts.

You waive any right to a jury trial and any right to participate in a class action against ActingFolio. Disputes must be brought individually and not as part of any class or representative proceeding.

12. General

If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision is not a waiver. You may not assign these terms; we may. These terms (together with our Privacy Policy) constitute the entire agreement between you and ActingFolio regarding the service.
